1. In this offer, unless the context otherwise requires, the following terms shall have the following meanings:
1.1. AWEX Service Principal
1.2 Referrer (Referrer) any registered user of the AWEX Service who has invited a new user through a personal referral link in the Program as a Referral.
1.3 The parties jointly referred to are the Principal and the Referrer.
1.4 The Website is a set of texts, photos, video materials, graphic elements, design and other results of intellectual activity, as well as computer programs belonging to the Principal, contained in an information system that makes such information available on the Internet at https://awex.pro.
1.5 Referral Program (Program) a program created by the Principal providing for cooperation between the Principal and the Referrer to attract third parties by means of a referral code for the purpose of selling the Principal's services.
1.6 Referrer is a legally capable natural person who has registered using the Referrer's referral code and used the Principal's services.
1.7 The Referral Code (referral code) is a unique, personal code assigned to the Referrer in the Program, which allows the Principal's website system to automatically identify all Referrals attracted by the Referrer in order to calculate rewards. The code is also embedded in the Referrer's personal referral link.
1.8. Referrer's Account a special account placed in the personal account of the Referrer, reflecting information on remuneration for participation in the referral program and used within the Program on the terms and conditions established by this offer.
1.9. Referrer's Transactions purchase/sale of crypto-assets for fiat currency and trading operations on Spot, performed in the Principal's Service.
2.1 This document is a public offer of the Principal to any natural person who is at least 18 years of age, has legal capacity and the necessary legal capacity.
2.2 A person who has executed acceptance of this public offer shall acquire all rights and obligations of the Referrer provided for in this offer.
2.3 Acceptance of this public offer is the provision of a referral link to a third party in accordance with the procedure established by this offer.
2.4 Acceptance of the offer means full and unconditional acceptance of the terms and conditions set forth in this offer.
2.6 Acceptance of this offer means that the Referrer has familiarized himself with its terms and conditions, the rules and specifics of the referral program, the rules of functioning of the Site to the extent necessary for him, recognizes the unconditional suitability of the used services and the Site for performing actions and achieving the goals that are the subject of this offer.
2.7 The Referrer confirms its agreement with the terms and conditions set forth in this offer in full. Ignorance of the terms and conditions of this offer shall not be a basis for the Referrer to make any claims against the Principal.
2.8 This offer shall be deemed accepted by the Referrer from the moment the Referral Code is provided to a third party for registration on the AWEX Company's website
2.9 The current text of the public offer is always available on the website at: https://awex.pro.
2.10 The terms and conditions of this public offer may be unilaterally amended by the Principal without notice to the Referrer. The new version of the public offer shall come into force from the moment of its publication on the Website.
3.1 The Principal entrusts and the Referrer assumes the obligation under the Referral Program to attract new users (Referrals) to participate in the Program using a referral code in order to promote the Principal's services for remuneration.
3.2 The Referrer's obligation shall be deemed fulfilled only if a new user is registered using the Referrer's personal referral code on the Principal's website and the Referrer makes transactions of buying/selling crypto-assets for fiat currency or trading on the spot market on the Principal's service.
3.3 The Referrer's remuneration, if the conditions of clause 3.2. are met, shall be:
3.4 The Referee shall not be authorized to act on behalf of the Principal. 3.3. The Principal shall bear the costs of maintenance and development of the Referral Program, including the computer program. The Referrer shall not be entitled to incur other expenses at the expense of the Principal for the involvement of third parties.
4.1 Any registered user who meets the requirements of this offer is entitled to become a Referrer.
4.2 To participate in the Program, it is necessary to go to the personal account on the website and open the Referral Program page and copying the Referral code, share it with a potential new user who registers on the Principal's website using the link or indicates the Referral code during registration.
4.3 After successful registration, the new user acquires the status of Referral and the possibility to be a Referrer.
4.4 The obligation of the Referrer set forth in clause 3 shall be deemed fulfilled only if the new user registers using the Referrer's personal referral code on the Principal's website and the Referrer makes transactions of buying/selling crypto-assets for fiat currency or trading on the spot market on the Principal's service.
4.5 The Referrer's remuneration, if the conditions of clause 3.2. are met, shall be:
4.6 Remuneration is credited to the Referrer's personal account balance within 24 hours after the Referral's transaction.
4.7 The personal account of the Referrer shall contain all data and information required by the Referrer: personal referral code, information on the number of attracted Referrals, transactions and trading operations performed by them in the Principal's service, and the status of the Referrer's account.
5.1 The Referrer shall have the right:
5.1.1 Receive remuneration in the amount and within the terms set forth in this offer;
5.1.2. View statistics of links, have access to his/her Referrer's account and other information placed in the personal cabinet of the Referrer;
5.2 The Referrer undertakes:
5.2.1. To fulfill in good faith the obligations stipulated by this offer;
5.2.2. study and comply with the requirements of the Principal's instructions on the use of the referral program and the Referrer's cabinet posted on the website;
5.2.3 Not to publish or transmit via the Internet any information defaming the Principal, refrain from committing actions that may damage the Principal's business reputation; 5.2.4 Provide accurate information to the Referrer when registering on the Website. The Principal shall not be liable for the content and accuracy of the information provided by the Principal.
5.2.5 Not to transfer to third parties and ensure confidentiality of passwords for access to the Referrer's cabinet;
5.2.6 Independently follow all updates and changes to the information received from the Principal under this offer, including information posted on the Principal's website and Telegram channel.
5.2.7 Adhere to the Principal's instructions under this offer, including those posted on the Principal's Website and Telegram channel.
5.3 The Referrer is prohibited to:
5.3.1 Perform actions on behalf of the Principal, offer services on its own behalf;
5.3.2 Use technologies that affect the statistics and remuneration of the Referrer;
5.3.3 Use spam (mass mailings) when distributing the referral code;
5.3.4. Create copies of the Principal's Website;
5.3.5. Place information about the Principal's services that does not correspond to reality and the requirements of applicable law.
5.4 The Principal shall be entitled to:
5.4.1 Unilaterally change the terms and conditions of this offer, including the amount of remuneration, terms and conditions of payment for the Referrer's services, notifying of such changes by posting information on the Principal's Website and Telegram channel;
5.4.2 Update the content, functionality of the Website, including the Referrer's cabinet at its own discretion.
5.5 The Principal shall be obliged to:
5.5.1 Timely and in full pay remuneration to the Referrer's account;
5.5.2. maintain proper technical functioning of the Website and the Referral program.
6.1 The Principal shall credit the Referrer's remuneration to the account in the exact cryptocurrency used by the Referrer when making transactions;
6.2 The Referrer shall receive remuneration only from the transactions of the Referral referred by him/her using the referral code.
6.3 The Referrer's remuneration is credited to his account automatically within 24 hours from the moment of a successful transaction by the Referral.
6.4 The Referrer shall receive remuneration from the Principal in automatic mode within 1 year from the moment of registration of the Referral on the Website.
6.5 The Principal reserves the right to change the amount and terms of the referral remuneration by notifying the Referrer at least 15 calendar days before the changes take effect by posting the relevant changes on the Principal's Website and Telegram channel.
6.6 If the Website system discovers that the Referrer has deleted his/her account in order to create a new one using his/her own referral link, or has independently registered second and subsequent accounts using his/her own referral link, the Principal shall be entitled to cancel all referral rewards for such accounts.
6.7 The amount and type of remuneration for the Referral shall be set in accordance with the rate specified in the referral link or in his/her personal account, by default, for the duration of the promotion conducted by the Principal. The terms and procedure of the promotions shall be officially published in the TG channel and on the Service's website.
7.1 The Parties shall be liable for non-fulfillment or improper fulfillment of their obligations under the applicable laws of the Russian Federation.
7.2 In case of violation of the Principal's property interests and business reputation as a result of non-performance or improper performance of obligations under this offer by the Referrer, the Principal shall be entitled to demand full compensation for the losses caused, which shall mean the costs associated with the restoration of its rights and interests.
7.3 The Principal shall not be liable for any discrepancies related to the implementation of the referral program for reasons for which the Referrer is responsible.
7.4 The Principal shall not be liable for the Referrer's lost profits related to participation in the referral program, as well as for the Referrer's losses directly or indirectly related to participation in the referral program.
7.5. The Parties shall be released from liability for partial or total failure to fulfill obligations under this Offer, if this failure occurred due to the occurrence, effect and consequences of force majeure circumstances that arose after the acceptance of the Offer and to which the Parties refer: flood, fire, earthquake, explosion, storm, land subsidence, epidemics and other natural phenomena, as well as war or hostilities, power outages, Internet outages and other circumstances that have arisen not by the will of the Parties and that prevent the use of the Referral Program.
7.6 The Party shall notify the other Party of force majeure no later than one day from the date of its occurrence or from the date when it was possible to make such notification, by electronic or telephone notification.
